Here are some reasons I've received in favor of upgrading:
o CDE
o NFS distributed effectively over all processors in multi-processing
machines
o major release should be reason enough to upgrade
As far as for being an easy upgrade:
o preserving filesystems and local configurations should be no problem
o allow for 2-4 hours of downtime
And something I didn't know...
DU 4.0 isn't out yet!! ;)
