The answer:
Was referred to the faq out at:

was pretty straight forward from there with a few corrections.
1. prot.h looks for acl.h. I moved /usr/sys/include/sys/acl.h to
/usr/include/acl.h to get it to compile. Someone out there can tell me if
this was the right thing to do... :-)
2. I tried changing all crypt() references to bicrypt but the make
couldn't find it. changed things back to the original and it compiled and
wuftp works. go figure.
3. I noticed that the sia directory isn't needed in ~ftp/etc if you're
_NOT_ doing anonymous ftp. (which I'm not... just wanted the logging and
access control features of wuftp.
