Tru64 Locks Up every 2hrs or so

Greetings,

I have not been able to figure out (yet) why one of my
tru64Unix boxes keeps locking up after every 2hrs or
so. After that, only solution is a complete power
off/on. It is a 2100 running v4.0G

Error messages on console log::

syslogd /var/adm/utmp: Permission denied
inetd [24257] execv /usr/sbin/tcpd: Permission denied

Trying to ssh in, gets following error message::
ssh_exchange_identification: Connection closed by
remote host
ANd for telnet::
Connection closed by foreign host.

After reboot, I cannot trace any source for this
problem from the logs (other than those logged to
console after system locks up)
No clues in uerf (doesn't seem hardware related at
all)

/var and /tmp are in locations with plenty of disk
space (over 24Gb) av.

Any clues for this one?
